SWEEPSTAKES PERIODS: The EquipmentShare Tailgate Takeover Sweepstakes (“Sweepstakes”) has a first period that starts when posted and ends on September 28, 2025 on September 28, 2025 (the "First Sweepstakes Period") and a second period that starts when posted ends at 11:59 p.m. CST on September 29, 2025 (the "Second Sweepstakes Period"). Winners will be selected from entries properly submitted and timely received during the First and Second Sweepstakes Periods.

ELIGIBILITY: Open only to citizens or residents of the United States who are 18 years of age or older as of the time of entry submission. Employees of EquipmentShare and members of their immediate family or persons living in the same household (“Friends of EquipmentShare”) do not share eligibility nor are they included in the same drawing for potential winners as other persons (“Public Participants”) as further described below.  Employees of (i) federal, state, and local governments, (ii) contractors operating under a federal, state, or local contract, or contract funded via public funds, and (ii) employees of organizations that prohibit acceptance of a prize offered through the Sweepstakes are not eligible to win. All applicable federal, state and local laws and regulations apply. Void where prohibited or restricted by law. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

HOW TO ENTER: During the First Sweepstakes Period you may submit two entries on each Third Party Platform (as defined below), for a maximum total of four (4) total entries, and during the Second Sweepstakes Period you may submit an entry on each Third Party Platform for a maximum total of two (2) total entries. During the First Sweepstakes Period, you will receive (a) one (1) entry per Third Party Platform by commenting on a football team and tagging a friend and (b) one (1) entry per Third Party Platform by “liking” the most recent Tailgate Takeover. During the Second Sweepstakes Period, you will receive one (1) entry per Third Party Platform by voting on the EquipmentShare poll related to the Tailgate Takeover. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries and result in disqualification. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. By entering this sweepstakes, entrant accepts and agrees to these Official Rules and the decisions of EquipmentShare, which shall be final and binding in all matters. Acceptance of a prize also constitutes permission to EquipmentShare to use the winner's name, social media handle, and likeness for marketing purposes without further compensation or right of approval, unless prohibited by law.

WINNER SELECTION: A random drawing of entrants will be conducted after the First Sweepstakes Period concludes to select the winners from among all eligible entries received. A random drawing of entrants will be conducted after the Second Sweepstakes Period concludes to select the winners from among all eligible entries received. For each of the First Sweepstakes Period and the Second Sweepstakes Period, EquipmentShare will draw (a) one winner for each period from the group of entries made by Friends of EquipmentShare, and (b) one winner from the group of entries made by Public Participants. Odds of winning depend on the number of entries received. The potential winners will be notified via direct message to the social account used for entry. If a winner does not respond to notification within one week of notification, or is not present when prize delivery is attempted, such prize will be forfeited. The drawings will be conducted by EquipmentShare, the judge of the Sweepstakes, whose decisions on all matters relating to the Sweepstakes shall be final. In the event that a potential winner is disqualified for any reason, EquipmentShare may, in its sole discretion, award the applicable prize to an alternate winner selected at random.

WINNING PRIZES: A total of 2 Winners (i.e., 1 Friend of EquipmentShare and 1 Public Participant) from the First Sweepstakes Period will each receive a portable BLACKSTONE^Ⓡ Portable Griller, an EquipmentShare branded Yeti^Ⓡ cooler and can holder, football-style EquipmentShare gear, and an EquipmentShare branded football and frisbee with an approximate total value of $585. A total of 2 Winners (i.e., 1 Friend of EquipmentShare and 1 Public Participant) from the second Sweepstakes Period will each receive an EquipmentShare branded Yeti^Ⓡ cooler with an approximate total value of $200. No prize substitution or cash equivalent of prize. No prize transfer. All federal, state and local taxes on any prize and any expenses not specified herein are the sole responsibility of winners. Winners are encouraged to contact a tax professional to determine whether their award is subject to tax consequences.

LIMITATION OF LIABILITY: By entering this sweepstakes, entrant waives all rights to, and holds EquipmentShare harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys’ fees) arising out of or in connection with participation in this sweepstakes or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. EquipmentShare is not responsible for late, incomplete, or incorrect entries; an entrant’s failure to receive prize notices due to the entrant’s spam, filters, or other security settings or for entrant’s provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this sweepstakes; or any typographical, technological, or other error in the publishing of the offer, administration of the sweepstakes, or announcement of the prize. If, in EquipmentShare’s opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the Sweepstakes, or if legal or technical difficulties (including viruses and bugs) compromise the continuity or integrity of the sweepstakes, EquipmentShare reserves the right, in its sole discretion, to cancel or modify the sweepstakes. In the event of termination, winners will be selected from among all eligible entries received as of the date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, EquipmentShare may identify an alternate winner.

CHOICE OF LAW AND FORUM: Entrant agrees that all matters or disputes that may arise out of or relating to this sweepstake and these Official Rules are governed by, and construed in accordance with the laws of the State of Missouri without giving effect to any of its conflict of law provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this sweepstake and these Official Rules shall be brought exclusively in the applicable state court located in Columbia, Missouri.

OFFICIAL RULES/WINNERS LIST: For notification of the winners, send a self-addressed stamped envelope to: EquipmentShare Marketing, 5710 Bull Run Dr., Columbia, MO, 65201. Requests for winners' lists must be received on or before the date thirty (30) days after the Sweepstakes Period ends in order to receive a response.

THIRD PARTY PLATFORMS: If this Sweepstakes is hosted, administered, or operated on a third party platform, including without limitation a social media platform (e.g. Facebook or Instagram) (“Third Party Platform”), then by participating in this Sweepstakes, entrants hereby release and agree to comply with all rules and policies set forth by such Third Party Platform and to hold harmless such Third Party Platform from any and all liability, loss, or damages arising from or in connection with the awarding, receipt, and/or use or misuse of prizes or participation in any prize related activities.
